These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services offered by Nuvoro at nuvoro.net and related domains (collectively, the "Service"). By creating an account, using the Service, or accessing content through an Organization's booking page, you agree to these Terms.
1. The Service
Nuvoro provides tools for businesses to manage appointments, services, staff, clients, payments, and related workflows. Features may change over time. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.
2. Accounts and eligibility
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account. You must be of legal age to form a binding contract in your jurisdiction. If you use the Service on behalf of an Organization, you represent that you have authority to bind that Organization.
3. Acceptable use
You agree not to:
- Violate law or third-party rights;
- Upload malware, scrape the Service in violation of our policies, or attempt unauthorized access;
- Use the Service to send spam or deceptive communications;
- Reverse engineer or circumvent security or usage limits except where law prohibits such restriction;
- Use the Service in a way that harms Nuvoro, users, or infrastructure.
We may suspend or terminate access for violations.
4. Organizations and end customers
When you book with a business that uses Nuvoro, that business is responsible for its services, policies, cancellations, and compliance with laws applicable to them. Nuvoro provides the platform; your contract for the underlying service (e.g. haircut, consultation) is with the Organization unless we state otherwise.
5. Fees and subscriptions
Paid plans, billing cycles, and taxes are described at checkout or in your subscription settings. Failure to pay may result in suspension. Refunds, if any, follow the policy stated at purchase or as required by law.
6. Intellectual property
Nuvoro and its licensors own the Service, branding, and related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or trial, subject to these Terms. You retain ownership of content you submit; you grant Nuvoro a license to host, process, and display that content as needed to operate the Service.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVORO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID NUVORO FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
9. Indemnity
You will defend and indemnify Nuvoro against claims arising from your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights, subject to applicable law.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or legal requirements. Provisions that by nature should survive (e.g. liability limits, indemnity) will survive termination.
11. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts in Alberta have exclusive jurisdiction, subject to mandatory consumer protections in your jurisdiction where they apply.
12. Changes
We may update these Terms. We will post the new Terms on this page and update the "Last updated" date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where additional consent is required by law.
